Aptera Accelerator #24 Sweepstakes

(the “Sweepstakes”)

OFFICIAL RULES

NO PURCHASE NECESSARY TO ENTER OR WIN. Purchasing a product will not increase your chances of winning.

1. SWEEPSTAKES DATES: The Sweepstakes begins at 7:30 a.m. Eastern Time (“ET”) on June 9, 2023 and ends at 11:59:59 p.m. ET on December 5, 2025 (the “Sweepstakes Period”). For purposes of these Official Rules, all times are given in Eastern Time.

2. ELIGIBILITY: Open to legal, permanent United States residents of the forty-eight (48) contiguous United States and the District of Columbia who are at least eighteen (18) years of age or older, nineteen (19) years of age or older in Alabama and Nebraska; and, twenty-one (21) years of age or older in Mississippi, as of the date of entry (the “Entrant”). Employees, officers and directors of ClimatePositive.Farm, Inc. dba SustainabilitySooner (the “Sponsor and Administrator”) and each of its subsidiaries and affiliates, distributors, vendors, advertising/promotion agencies, and any others engaged in the development, production, execution or distribution of the Sweepstakes, including, but not limited to, publisher of the Sweepstakes, and the entities supplying the Grand Prize (collectively referred to herein as “Sweepstakes Entities”) as well as their immediate family members (spouses, siblings, children and parents, regardless of where they live) or members of the same households (whether related or not) of such employees, officers and directors are not eligible to participate. All federal, state and local laws and regulations apply. Sweepstakes is void outside of the forty-eight (48) contiguous United States and the District of Columbia and wherever else prohibited and/or restricted by law.

3. TO ENTER: There are four (4) ways to enter this Sweepstakes:

a. VIA A PURCHASE: Visit www.SustainabilitySooner.com (the “Website”) and make a qualifying purchase of an Aptera ffwdr & Dal Pal Bundle priced at twenty-four dollars ($24.00) to receive two hundred forty (240) entries; or, equivalent, by and/or in whatever name, title and/or form, one (1) entry for every $0.10 purchased at the Website; or, an Aptera ffwdr & Dal Pal Bundle 60 Second Bundle priced at forty-eight dollars ($48.00) to receive fifteen thousand (15,000) entries; or, equivalent, by and/or in whatever name, title and/or form, one (1) entry for every $0.0032 purchased at the Website.  Entrants are limited to a purchase of only one (1) Aptera ffwdr & Dal Pal Bundle; or, Aptera ffwdr & Dal Pal 60 Second Bundle.  The deadline for entries Via Purchase of an Aptera ffwdr & Dal Pal Bundle is 11:59:59 p.m. ET on October 9, 2023.  The deadline for entries Via Purchase of an Aptera ffwdr & Dal Pal 60 Second Bundle is 11:59:59 p.m. ET on November 9, 2023.

b. POSTING PURCHASED PRODUCTS ON QUALIFYING SOCIAL MEDIA: The sole qualifying purchase is the Aptera ffwdr & Dal Pal Bundle which includes two hundred and forty (240) SustainabilitySooner Aptera ffwdr & Dal Pal frames. Before an Entrant may enter this Sweepstakes by posting Purchased Products on Qualifying Social Media, they must first purchase an Aptera ffwdr & Dal Pal Bundle (see paragraph 3.a., above) to acquire those products. Entrants receive nine (9) entries for each photo or video framed with one (1) of these frames which they post on qualifying social media platforms (see SustainabilitySooner.com for a current list of qualifying social media platforms). When Entrants post their 240th frame, they receive the same nine (9) entries as they did for posting the first two hundred and thirty-nine (239) frames, plus an additional three thousand six hundred (3,600) entries and one hundred twenty (120) additional frames. Entrants receive twenty (20) entries for photo or video which they post on qualifying social media platforms with one of these additional frames. When Entrants post their three hundred and sixtieth (360th) frame, they receive the same twenty (20) entries as they did for posting the previous first one hundred and nineteen (119) frames, plus an additional six thousand six hundred (6,600) entries. In addition to the two hundred and forty (240) entries they received when purchasing the Aptera ffwdr & Dal Pal Bundle, Entrants who post all three hundred sixty (360) of their frames on qualifying social media platforms will receive fourteen thousand seven hundred sixty (14,760) entries, bringing their total to the maximum fifteen thousand (15,000) entries allowable in this Sweepstakes. Entry Via Purchase and the subsequent Posting of Purchased Products on Qualifying Social Media offer an opportunity for Entrants to earn money in the form of an Affiliate Referral Fee in the amount of $4.80 each for the referral of any purchaser(s) of an Aptera ffwdr & Dal Pal Bundle; or,  in the amount of $9.60 each for the referral of any purchaser(s) of an Aptera ffwdr & Dal Pal 60 Second Bundle, plus an annuity if referent(s) make further qualifying purchases unrelated to this Sweepstakes. There is no guarantee that an Entrant’s referent(s) will make a purchase, only that the referring Entrant will be paid a referral fee from the proceeds of any purchase(s) said referent(s) do(es) make. ENTRANTS DO NOT RECEIVE ANY ENTRIES FOR SUCH REFERRALS AND A REFERRAL WILL NOT INCREASE AN ENTRANT’S CHANCES OF WINNING.  Like AMOE entries (see below), entries accrued through the posting of Purchased Products on Qualifying Social Media are valid if received by 11:59:59 p.m. ET November 9, 2023. To receive the Grand Prize, the Grand Prize Winner will be required to provide Sponsor and Administrator access to their accounts on qualifying social media platforms to verify the posting of their SustainabilitySooner Aptera ffwdr & Dal Pal frames. At the sole discretion of the Sponsor, failure to provide such access or any false claim(s) of entries in connection with the posting of their frames will result in disqualification.

c. ALTERNATE METHOD OF ENTRY (“AMOE”): To receive an entry into the Sweepstakes without making a purchase, Entrant must enter as follows: on a plain 4” x 6” postcard, ENVELOPE ENTRIES WILL NOT BE ACCEPTED. Using, a water insoluble, non-gel, ballpoint pen, legibly handprint in black ink: your first name, last name, email address, telephone number in the upper left hand corner of each and every postcard you are mail to: Aptera Accelerator #24 ffwdr Sweepstakes Post Office Box 5211 High Point, NC  27262. AMOE Entries must be postmarked December 5, 2025 and received by December 12, 2025. Entries submitted or completed by anyone other than the Entrant are void. No mechanical reproductions will be accepted. All entries submitted become the sole property of Sponsor and will not be returned. Sweepstakes Entities are not responsible for lost, late, misdirected, illegible, incomplete, incorrect, improper, non-compliant, postage due or damaged postcards. NO ENVELOPES WILL BE OPENED OR ACCEPTED. AMOE POSTCARDS MAILED IN ENVELOPES ARE VOID AND WILL BE IMMEDIATELY DISPOSED OF AND WILL UNDER NO CIRCUMSTANCES BE OPENED, PROCESSED OR SAVED. To be eligible to win the Grand Prize as an AMOE Entrant, Sponsor and Administrator must receive by December 12, 2025 from one (1) to no more than thirty (30) properly submitted AMOE postcards; and, an AMOE Entrant will be be credited with five hundred (500) AMOE Entries for each properly submitted AMOE postcard received.

There is no guarantee that an Entrant’s referent(s) will make a purchase, only that the referring Entrant will be paid a referral fee from the proceeds of any purchase(s) said referent(s) do(es) make. ENTRANTS DO NOT RECEIVE ANY ENTRIES FOR SUCH REFERRALS AND A REFERRAL WILL NOT INCREASE AN ENTRANT’S CHANCES OF WINNING.

Regardless of the method of entry, there is a limit of fifteen thousand (15,000) entries per Entrant in this Sweepstakes. Any attempt by any Entrant to obtain more than the stated number of entries by using multiple/different identities, and/or any other methods will void that Entrant’s entries and that Entrant may be disqualified from the Sweepstakes at the sole discretion of the Sponsor. Entry information becomes property of Sponsor and will not be returned. Sponsor and Administrator will not verify receipt of entries for Entrants.
Without limitation, Sponsor reserves the right in their sole discretion to disqualify any Entrant whose social media account(s), in Sponsor’s sole opinion, refers, depicts or in any way reflects negatively upon the Sweepstakes, the Sweepstakes Entities; or, any other person or entity; does not strictly comply with these Official Rules; or, if Sponsor receives notification about any potential infringements, breaches of law or for any other reason set forth herein (see Paragraph 8. GENERAL, below).

4. WINNING/ODDS: There will be one (1) random drawing held on or about December 15, 2025 in High Point, NC in which one (1) Grand Prize Winner will be selected from among all eligible entries received during the Sweepstakes Period. Odds of winning the grand prize (the “Grand Prize”) will depend upon the total number of eligible entries received during the Sweepstakes Period. The random drawing will be conducted by the Sponsor and Administrator, whose decisions are based upon its sole discretion and interpretation of these Official Rules and are final and binding in all respects.

5. NOTIFICATION: Potential Grand Prize Winner will be notified via email or mail within two (2) business days of the date in which the potential Grand Prize Winner is selected (the “Notification”). In order to claim his/her/their Grand Prize, the potential Grand Prize Winner must respond to the Notification within the time frame indicated by providing the Required Documents (as defined in the “PRIZE CLAIMS” section below). In the event that: (a) the potential Grand Prize Winner fails to respond to the Notification; (b) the potential Grand Prize Winner fails to supply the Required Documents; (c) any Notification is returned as undeliverable; and/or (d) it is determined by the Sponsor, in its sole discretion, that the potential Grand Prize Winner is not eligible in accordance with these Official Rules, such potential Grand Prize Winner  will be disqualified and an alternate Grand Prize Winner will be selected at random from among all remaining non-winning eligible entries received during the Sweepstakes Period.

6. PRIZE & PRIZE RESTRICTIONS: One (1) Grand Prize Winner will receive the Sponsor’s highest ranked Aptera Accelerator Delivery Slot for an Aptera Launch Edition on the Aptera Accelerator Leaderboard at the End of this Sweepstakes, with an approximate retail value (“ARV”) of $70.00 U.S. + a check for $4,930.00. The total ARV of the Grand Prize in this Sweepstakes is $5,000.00 U.S.  As of the Start of this Sweepstakes, the Sponsor’s highest ranked Aptera Accelerator Delivery Slot for an Aptera Launch Edition on the Aptera Accelerator Leaderboard is #24.
Grand Prize cannot be substituted, assigned, transferred, or redeemed for cash except at Sponsor’s sole discretion or as otherwise provided herein. Sponsor reserves the right to substitute Grand Prize with a prize of comparable or greater value if the advertised Grand Prize should become unavailable. Grand Prize Winner is required to comply with any and all applicable federal, state, provincial and local laws, rules and regulations. The Grand Prize Winner is solely responsible for any taxes on the Grand Prize he/she/they has/have received, including but not limited to any and all federal, state and local taxes. As set forth in these Official Rules, no more than the one (1) Grand Prize will be awarded..

7. PRIZE CLAIMS: Except where prohibited, the potential Grand Prize Winner must sign and return to the Sponsor and Administrator an affidavit of eligibility/release of liability/publicity release (the “Release”) and IRS form W-9 in order to claim the Grand Prize (collectively, the “Required Documents”) within the time frame indicated in the Notification. If the potential Grand Prize Winner fails to sign and return the Required Documents within the required time period the potential Grand Prize Winner forfeits his/her/their right to the Grand Prize and an alternate Grand Prize Winner will be selected at random from among all remaining non-winning eligible entries received during the Sweepstakes Period. The Grand Prize Winner consents to use of his/her/their name, likeness, biographical information, and voice (or any derivation thereof) in advertising worldwide without additional compensation (TN residents will not be required to sign a publicity release as a condition of winning the Grand Prize). The Grand Prize is taxable as income and the Grand Prize Winner is solely responsible for any taxes on the Grand Prize, including, but not limited to all applicable federal, state, provincial and local taxes. The Sponsor and Administrator must report the value of the Grand Prize to the IRS in the year the Grand Prize is received by the Grand Prize Winner and will be reported to the Grand Prize Winner and the IRS in the form of a Form 1099 for Form 1042-S. In the event it is deemed during the verification process that the potential Grand Prize Winner does not have a unique, personal and valid social security number for Sponsor (or any party acting on its behalf) to report the tax liability associated with acceptance of the Grandus Prize, the potential Grand Prize Winner will be disqualified and another potential Grand Prize Winner will be selected from among the remaining non-winning eligible entries received during the Sweepstakes Period. Valid social security numbers will be determined by IRS requirements.

8. GENERAL: All federal, state and local taxes on the Grand Prize are the sole responsibility of the Grand Prize Winner, if applicable. By participating in this Sweepstakes, each Entrant agrees: [a] to abide by and be bound by these Official Rules and the decisions of the Sponsor and Administrator which shall be final in all respects relating to the Sweepstakes, including without limitation the interpretation of these Official Rules; [b] to release, discharge and hold harmless Sponsor, its franchisees, licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers, and any other individual or company involved in the development or execution of the Sweepstakes, including the Sponsor and Administrator, from any and all injuries, liability, losses, damages, rights, claims and actions of any kind including liability for personal injury or death resulting from his/her/their participation in the Sweepstakes or their acceptance, use or misuse of the Grand Prizes; and [c] if the Grand Prize Winner, to the use of his/her/their name, voice, image and/or likenesses for advertising, publicity and promotional purposes by Sponsor and Sponsor’s subsidiaries and affiliates without further notice or compensation (unless prohibited by law) and, except where prohibited, to execute specific consent to such use if asked to do so. Sponsor, its licensees, subsidiaries, affiliates, advertising agencies, promotional agencies and suppliers and any other individual or company involved in the development or execution of the Sweepstakes, including the Sponsor and Administrator, and each of their respective directors, officers, shareholders and employees are not responsible and shall not be liable for; [a] electronic transmission errors resulting in omission, interruption, deletion, defect, delay in operations or transmission, theft or destruction; [b] unauthorized access to or alterations of entry materials; [c] technical, network, telephone equipment, electronic, computer, hardware or software malfunctions; or [d] limitations of any kind or inaccurate transmissions of or failure to receive information by Sponsor on account of technical problems or traffic congestion on the Internet or at any website or any combination thereof. Regardless of the method of entry, the Sweepstakes Entities, including, but not limited to the Sponsor and Administrator, are not responsible for lost, late, misdirected, illegible, incomplete, incorrect, improper, non-compliant, postage due or damaged entries or any condition caused by events beyond the control of the Sponsor that may cause the Sweepstakes to be disrupted or corrupted. Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning the Grand Prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, deception, or other unfair playing practices or behaving so as to annoy, abuse, influence, defame, deter, threaten and/or harass any other Entrants and/or the Sweepstakes Entities. Entries which contain false information, are incomplete, inaccurate or are otherwise forged, defective, or made outside authorized channels, including those which have failed due to malfunction or failure of phones, phone lines, telephone systems or networks, server(s), providers, computer equipment, software or any combination thereof of any kind, any human error or otherwise, shall be void. CAUTION: ANY ATTEMPT BY A PERSON TO DELIBERATELY DAMAGE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING, BUT NOT LIMITED TO REASONABLE ATTORNEY’S FEES) FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. SPONSOR’S FAILURE TO ENFORCE ANY TERM OF THESE OFFICIAL RULES SHALL NOT CONSTITUTE A WAIVER OF THESE PROVISIONS. If, for any reason whatsoever, this Sweepstakes, in Sponsor’s sole opinion, is not capable of running as planned, including, but not limited to, by reason of infection by computer virus, tampering, fraud, technical failures, or any other cause which, in the Sponsor’s sole judgment, corrupts or affects the administration, security, fairness, integrity or proper conduct of this Sweepstakes, Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend this Sweepstakes and limit entries to those submitted prior to the action taken, or to proceed in such a manner as may be deemed fair and equitable by Sponsor in its sole discretion. Notice of such action will be posted on the Website. All federal, state and local regulations apply. ENTRANTS AGREE THAT: (1) ANY AND ALL DISPUTES, CLAIMS AND/OR CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THIS SWEEPSTAKES OR THE GRAND PRIZE AWARDED SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION AND IN ACCORDANCE WITH THE LAWS OF THE STATE OF NORTH CAROLINA WITHOUT REGARD TO PRINCIPLES OF CONFLICTS OF LAW; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS SHALL BE LIMITED TO ACTUAL OUT-OF-POCKET COSTS INCURRED, INCLUDING COSTS ASSOCIATED WITH ENTERING THIS SWEEPSTAKES, IF ANY, BUT IN NO EVENT WILL ENTRANT BE ENTITLED TO RECEIVE ATTORNEYS’ FEES OR BE ENTITLED TO RECOVER PUNITIVE, EXEMPLARY, INCIDENTAL OR CONSEQUENTIAL DAMAGES; (3) THESE OFFICIAL RULES ALONE GOVERN IN ALL MATTERS RELATED TO THIS SWEEPSTAKES.

10. WINNERS’ LIST REQUEST: To receive the name of the Grand Prize Winner, send a self-addressed, stamped (business size) envelope to: Aptera Accelerator #24 Winners List Request, P. O. Box 5211 High Point, NC  27262. Requests must be received by January 15, 2026.

This Sweepstakes shall not be published without written permission by Sponsor. 

ABBREVIATED RULES
